Assuming that you have the mach 460 unit, that black box is your sound box for the rear speakers. should be held in with 6 10m screws. I would shy away from mounting your amp to it for a couple basic reasons...
First, it is simply 1/8th inch thick plastic. if you go sinking screws into it you are going to open it up so it is not sealed, it will flex and over time probably crack. Second, your amps cooling fins are designed to be on TOP of your amp. If you hang it upsidedown the heat will rise like normal, and rather than rising to the cooling fins and aluminum case, the heat will be sitting in the amps electronics. if you push your system hard like I tend to do, your amp will go into thermal overload and shut down on you, or just die. Y suggestion is to find some other place that you can hang it right side up, or at an angle but with the fins top most, and go with it that way. The way I did mine was to get a 1/4 inch thick slab of Aluminum and suspend it where the factory rear sound box was. now my components amp and sub amp are mounted on it and the rear box is gone. I dont use rear speakers in my car... Yea Im weird. My amps dont over heat, and are tucked up high in the trunk under the package try so that they dont get banged around at all.

no. the speakers are mounted Into the box. The box acts like a subwoofer enclosure. If you were running an after market deck you could simply get a set of say 5.25 coaxials and make adapter plates to mount them in the holes on the package shelf, but you dont mention if you are or not.

well do you use your spare tire?
Or you could embed it IN the back of your rear seat... Pull off the upholstry, cut out the outline of your amp, build brackets that sink in about 4/5ths the depth of your amp, cut foam out of the way, mount amp to brackets them brackets to remaining seat back.
