yeah you be very happy with gears/t-lok....just make sure you get a gear install kit too....and im assuming the car is an auto if you want 4.10s.

id say exhaust but i like to be diferent
i don't have gears yet and they aren't even in the about 5-7K of work i am planing on doing but that is just me.

to be honest...are you looking for performance or the RAWR first? the rawr=exhaust, the performance well...it could be both
fuck it do em both at the same time, the mechanic that did my exhaust had to pull the rear axle down a bit to put the new pipes in
